TürkPass Platform
Effective Date: 27 February 2026

1. Introduction

These Terms of Service (“Terms”) govern access to and use of the TürkPass platform (“Platform”), operated under the commercial name “TürkPass” by its founders (“Operator”).

TürkPass is currently in the process of formal company registration in the Republic of Türkiye. Upon completion of registration, all rights and obligations under these Terms will transfer to the registered legal entity.

If you are accepting these Terms on behalf of a company or legal entity, you represent that you have authority to bind that entity.

2. Description of Services

TürkPass provides a business-to-business (B2B) Software-as-a-Service (SaaS) platform designed to assist manufacturers, exporters, and suppliers in preparing for and managing compliance with the EU Digital Product Passport (DPP) requirements under the Ecodesign for Sustainable Products Regulation (ESPR).

Services may include:

  • Generation of digital product identifiers (UID, QR, NFC)
  • Hosting and structuring of product compliance data
  • Storage of material composition and “Substances of Concern” data
  • Compliance documentation organization
  • Technical interfacing with regulatory systems where applicable

TürkPass provides technical infrastructure only and does not provide legal advice.

3. Customer Responsibilities

You are solely responsible for:

  • The accuracy, completeness, and legality of all data uploaded
  • Ensuring that product data complies with applicable EU and international regulations
  • Maintaining the confidentiality of account credentials
  • Ensuring authorized use of the Platform within your organization

TürkPass does not independently verify chemical, engineering, or regulatory accuracy of submitted data.

4. Data & Confidentiality

4.1 Customer Data

All product and compliance data uploaded by the Customer remains the property of the Customer.

You grant TürkPass a limited, worldwide, non-exclusive license to host, process, store, and transmit such data solely for the purpose of providing the Services.

4.2 Confidential Information

Both parties agree to treat non-public business, technical, and commercial information as confidential and not disclose it to third parties except as required by law.

Confidentiality obligations survive termination of these Terms.

5. Data Protection (KVKK)

TürkPass processes personal data in accordance with the Turkish Law on the Protection of Personal Data (KVKK).

Where personal data (e.g., employee names or emails) is processed:

  • Customer acts as Data Controller
  • TürkPass acts as Data Processor

Compliance data related to products is considered commercial/technical data, not personal data.

6. Fees and Payment

Fees are based on selected service plans or agreed commercial terms.

  • All fees are exclusive of VAT (KDV) and applicable taxes.
  • Payment terms are specified in invoices or subscription agreements.
  • Except where required by law, fees are non-refundable.

Failure to pay may result in suspension of services.

7. Intellectual Property

All software, algorithms, platform architecture, branding, and related intellectual property remain the exclusive property of TürkPass.

These Terms do not transfer ownership rights to the Customer.

8. Service Availability

TürkPass aims to maintain high service availability; however:

  • The Platform is provided on an “as available” basis.
  • Scheduled maintenance may occur.
  • TürkPass is not responsible for outages caused by third-party systems, EU regulatory databases, or force majeure events.

9. Limitation of Liability

TürkPass shall not be liable for:

  • Regulatory fines, export bans, or customs actions resulting from inaccurate data provided by the Customer
  • Indirect, incidental, or consequential damages
  • Loss of profit or business interruption

Total liability of TürkPass shall not exceed the total fees paid by the Customer during the 12 months preceding the claim.

Nothing in these Terms excludes liability for willful misconduct or gross negligence where prohibited by law.

10. Termination

These Terms remain in effect while the Customer maintains an active subscription.

Either party may terminate:

  • Upon material breach not remedied within 30 days
  • Upon expiration of subscription

After termination:

  • Customer may export data within 30 days
  • TürkPass may delete or archive data according to legal retention requirements

11. Force Majeure

TürkPass shall not be liable for failure or delay resulting from events beyond its reasonable control, including but not limited to natural disasters, government actions, regulatory system failures, cyberattacks, or telecommunications outages.

12. Amendments

TürkPass may update these Terms from time to time. Updated Terms will be posted on the website.

Continued use of the Platform after updates constitutes acceptance of revised Terms.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye.

Any disputes shall be subject to the exclusive jurisdiction of the Courts and Execution Offices of Konya.
